IB Partner Licence Agreement

ZIPPZ IB Partner Licence Agreement

This agreement lets an IB partner use a ZIPPZ Expert Advisor (EA) free of charge on trading accounts opened through the ZIPPZ introducing-broker link, and sets out how the EA and its results are protected. It is signed electronically on the ZIPPZ website (section 10).

1. Parties

Licensor: [Licensor full name / company], trading as ZIPPZ, [Address, Philippines], email [Email].

IB Partner: the person or company whose name, email, country, broker, trading account number and server are entered in the partner sign-up form on the ZIPPZ website. Those details, as recorded with the electronic signature, form part of this agreement.

Trading account(s) licensed: the account number and broker server entered in the sign-up form, and any further account the Licensor licenses on request.

The Licensor developed and owns the ZIPPZ Expert Advisors (the "EA"), the ZIPPZ licence server and every setting, method and result behind them. The IB Partner opens trading accounts through the Licensor's introducing-broker (IB) link.

2. The licence

  1. The Licensor grants the IB Partner a personal, non-exclusive, non-transferable right to run the EA on the trading account(s) listed in section 1, free of charge, for as long as those accounts stay registered under the Licensor's IB link.
  2. Each licence covers one trading account at one broker. A new or extra account needs its own licence, issued by the Licensor on request.
  3. The EA is licensed, not sold. Ownership of the EA, its code, its settings, the licence server and every result stays with the Licensor.
  4. The Licensor may update the EA at any time. The IB Partner installs updates when asked; an old version may stop working once a newer one is released.
  5. The licence is free because the Licensor is paid by the broker through the IB arrangement. Moving an account away from the IB link ends the licence for that account (section 8).

3. What is allowed and what is not

The IB Partner may:

  • run the EA on the licensed account(s), choose the lot size and switch the EA on or off;
  • view the account's own results and share them with others.

The IB Partner may not, alone or through anyone else:

  1. copy, share, lend, sell or publish the EA file, the licence or its download link;
  2. decompile, disassemble, patch, modify or try to remove, bypass or fake the licence check, the server connection or any protection in the EA;
  3. work out, record or publish the EA's settings or method from its code, its orders or its trade history, or rebuild them in another program;
  4. copy the EA's trades to any other account, by trade copier, signal service, social-trading platform, PAMM/MAM or by hand;
  5. offer the EA, its trades or its signals to others, paid or free;
  6. run the EA on an account that is not licensed, or let another person use the licensed account to do so;
  7. overload, attack or try to break into the ZIPPZ licence server.

A breach of this section ends the licence at once (section 8). The Licensor may also claim damages for any loss caused, including lost IB income and the value of the EA's methods.

4. Data the EA sends

To check the licence, protect the EA and run the partner programme, the EA sends the data below to the Licensor's server while it is attached to a chart. It sends nothing else.

  • Account number, broker server, account currency - to check the licence and the IB link.
  • Balance, equity, open and closed trades placed by the EA (time, price, lot, profit) - to show the partner's results and check that the EA works as designed.
  • The market data the EA reads to place its orders (recent prices, spread, server time) - to calculate each order on the ZIPPZ server (section 5).
  • Terminal identifier, IP address, EA version - to detect copied or modified EAs and shared licences.
  • Names of other programs attached in the same MT5 terminal - to detect trade copiers (section 3, point 4).

The Licensor processes this data under the Data Privacy Act of 2012 of the Philippines (Republic Act No. 10173), on the basis of this agreement and the Licensor's legitimate interest in protecting the EA.

  • The data is stored securely on the Licensor's server, is not sold or passed to anyone, and is kept for as long as the licence runs plus 12 months.
  • The IB Partner may ask to see, correct or delete their data by writing to the Licensor's email in section 1. Deleting it ends the licence, because the EA cannot run without it.
  • By signing, the IB Partner confirms they have read this section and agree to it.

5. Server connection

  • The EA calculates its orders on the Licensor's server. It opens new trades only while it can reach that server and the licence is active; without the server it places no new orders.
  • Every order is sent to the broker with its stop loss from the moment it opens. If the server becomes unreachable, open trades keep their stop loss and close normally.
  • The Licensor aims to keep the server running at all times but does not guarantee it. A trade missed because the server, the internet, the broker or the VPS was unavailable is not a loss the Licensor pays for.
  • The IB Partner must allow the EA's web address in MT5 (Tools > Options > Expert Advisors > Allow WebRequest) as described in the installation guide.

6. Risk warning

  • Trading gold, Bitcoin and other leveraged products carries a high risk of loss, including losing more than a stop loss when the market gaps or the broker fills an order late. Only money the IB Partner can afford to lose should be traded.
  • The EA is a software tool, not financial, investment or tax advice. The IB Partner alone decides whether to use it, on which account and with what lot size.
  • Backtests and past results, the Licensor's or anyone else's, do not guarantee future results. Live results usually differ from backtests because of spreads, slippage and broker conditions.
  • The IB Partner is responsible for their own broker account, margin, VPS and internet connection.

7. Liability

  1. The EA is provided "as is". The Licensor does not promise any profit, or that the EA will be free of errors or interruptions.
  2. To the extent Philippine law allows, the Licensor is not liable for trading losses, lost profits or indirect losses arising from the use of the EA, the server or this agreement.
  3. Nothing in this agreement limits liability for fraud, gross negligence or anything else that Philippine law does not allow to be limited.
  4. The IB Partner is liable for any loss the Licensor suffers because the IB Partner broke section 3.

8. Ending the licence

The licence for an account ends:

  • when the IB Partner asks for it to end, by email, at any time;
  • when the account leaves the Licensor's IB link or is closed;
  • when the Licensor gives 7 days' notice by email, for any reason;
  • at once, without notice, if the IB Partner breaks section 3 or the EA detects a copied, modified or shared licence.

When the licence ends, the EA stops opening new trades, open trades keep their stop loss and close normally, and the IB Partner deletes every copy of the EA. Sections 3, 6, 7 and 9 keep applying after the licence ends.

9. Law and disputes

  • This agreement is governed by the laws of the Republic of the Philippines.
  • The parties first try to settle any dispute by email within 30 days. If that fails, the courts of [city of the Licensor's registered address], Philippines, have jurisdiction.
  • If one clause is found invalid, the rest of the agreement still applies.
  • This agreement is the whole agreement about the EA licence. Changes are valid only in writing: by email from both parties, or by a new version of this agreement signed electronically on the ZIPPZ website.

10. Electronic signature

  1. The IB Partner signs this agreement electronically on the ZIPPZ website by ticking the acceptance box and typing their full name as their signature.
  2. Under the Electronic Commerce Act of 2000 of the Philippines (Republic Act No. 8792), this electronic signature and this electronic document have the same legal effect as a signature and a document on paper.
  3. With each signature the Licensor records the typed name, the date and time, the IP address, the details entered in the sign-up form and the exact version of the agreement signed. The IB Partner can view and print the signed copy from their status page at any time.
  4. The Licensor accepts and signs the agreement by approving the IB Partner's application; the approval date is recorded with the signed copy. The licence starts on that date.
  5. By signing, each party confirms they have read and accept this agreement, including the data use in section 4 and the risk warning in section 6.
